These Terms of Service ("Terms") govern your access to and use of the website, services, AI tools, and customer portal provided by AI Agent Worx ("AIAW," "we," "us," or "our"). By accessing our website, purchasing a service, or using our portal, you agree to these Terms. If you do not agree, do not use our services.

Plain-English summary: We provide AI-powered business services. Our AI tools are powerful but not perfect — you're responsible for reviewing AI-generated outputs before acting on them. We bill subscriptions on a recurring basis, you can cancel per the terms below, and our liability is limited as described.

1. Our Services

AIAW provides AI-powered services for small and medium businesses, including website design and maintenance, SEO, GEO (AI visibility), lead generation, paid advertising support, an AI phone receptionist, appointment scheduling, CRM and nurture automation, and workflow automation. Specific deliverables, scope, and pricing are defined in your individual service agreement or order.

2. What Our AI Does (Disclosure)

Several of our services use artificial intelligence, including large language models, to generate audits and reports, draft content, answer phone calls and messages, and automate tasks. When you interact with our AI phone assistant or portal assistant, you are interacting with an automated AI system, not a live human. AI outputs are machine-generated, probabilistic, and may be inaccurate or incomplete.

3. AI Output — Your Responsibility to Verify

AI-GENERATED OUTPUTS ARE NOT GUARANTEED TO BE ACCURATE, COMPLETE, OR ERROR-FREE. YOU ARE RESPONSIBLE FOR REVIEWING AND VERIFYING ANY AI-GENERATED OUTPUT BEFORE RELYING ON OR ACTING ON IT. AIAW IS NOT LIABLE FOR BUSINESS, FINANCIAL, LEGAL, OR OTHER DECISIONS MADE IN RELIANCE ON AI OUTPUTS WITHOUT INDEPENDENT HUMAN VERIFICATION.

Our AI tools support — and do not replace — professional judgment. For regulated matters (legal, financial, medical, or compliance), you should obtain qualified professional review.

4. Ownership of Outputs

Subject to payment, you own the final deliverables we produce for you. AIAW retains ownership of its underlying systems, templates, methods, and software, and retains a license to operate and improve its services. Because AI models are probabilistic, similar or comparable outputs may be generated for other customers; we do not promise that any AI-generated output is exclusive or original.

5. Acceptable Use

You agree not to use our services to:

Violate any applicable law or regulation.
Submit personal data of third parties without proper consent.
Use outputs in regulated contexts (healthcare, legal, financial) without professional review.
Generate unlawful, infringing, deceptive, or harmful content.
Reverse-engineer, copy, or attempt to extract our AI models or systems.

6. Payments, Subscriptions & Cancellation

Some services are one-time projects; others are recurring subscriptions billed monthly via our payment processor (Stripe).
Recurring subscriptions automatically renew each billing cycle until cancelled.
You may cancel a subscription at any time through your portal or by contacting us; cancellation takes effect at the end of the current billing cycle.
Unless required by law or stated otherwise, fees already paid are non-refundable.
We may change pricing with reasonable notice; changes apply to future billing cycles.

7. Third-Party Providers

Our services rely on third-party providers, including AI providers (such as Anthropic, OpenAI, and Google), payment processing (Stripe), and communications/hosting infrastructure. Their terms and limitations may also apply. We are not responsible for the acts, omissions, or availability of third-party services.

8. Warranty Disclaimer

OUR SERVICES AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT OUTPUTS WILL ACHIEVE ANY SPECIFIC RESULT, RANKING, OR OUTCOME.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AIAW WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS OR REVENUE. AIAW'S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID TO AIAW FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold AIAW harmless from claims, damages, and expenses arising from your use of the services, your content, or your violation of these Terms or applicable law.

11. Termination

We may suspend or terminate access for violation of these Terms or non-payment. You may stop using the services at any time. Provisions that by their nature should survive termination (including disclaimers, liability limits, and indemnification) will survive.

12. Changes to These Terms

We may update these Terms as our services or applicable law evolve. For material changes, we will provide reasonable notice (typically 30 days) by posting here and, where appropriate, by emailing account holders. Continued use after changes take effect constitutes acceptance.

13. Governing Law

These Terms are governed by the laws of the State of Nevada, USA, without regard to its conflict-of-laws rules. Any disputes will be resolved in the state or federal courts located in Nevada, unless otherwise required by law.
